Frequently asked questions
Foreign investors need Investment Registration (often called a MISA license) from the Ministry of Investment before establishing a company. It is the first step; you still need a Commercial Registration (CR) and any sector-specific licences before trading.
MISA states that its review of an investment registration application takes up to 10 days. The full setup takes longer because the CR, bank account and government portal registrations follow, and timing depends on your activity and documents.
In many sectors, yes. MISA states that ownership is open to foreigners and locals, although some activities require a local partner or are restricted. We check your planned activities before you apply.
Typically the parent company’s commercial registration and latest financial statements, authenticated by the Saudi Embassy, plus identification documents and any activity-specific requirements. Documents issued abroad generally need legalisation and Arabic translation.
It is a licensing pathway for eligible entrepreneurs to establish a business in Saudi Arabia. Eligibility depends on the applicable programme and current regulations, which we help you review.
No. Company formation establishes your legal presence. Winning work depends on your market, registrations and commercial efforts, and we can support those next steps too.
A typical sequence is: confirm your business activity and company structure, obtain MISA investment registration (for foreign investors), reserve the trade name and prepare the articles of association, issue the Commercial Registration (CR) with the Ministry of Commerce, then complete Chamber of Commerce membership, National Address, the municipality (Balady) licence, GOSI, Qiwa, Muqeem and ZATCA registrations, and open a corporate bank account. The exact steps depend on your activity.
The cost depends on your business activity, company structure, office lease, government fees (MISA, CR, Chamber of Commerce), document attestation and translation, and the number of visas you need. MISA’s fee structure has changed in recent years, so we confirm the current official fees for your case before you budget.
The Companies Law that took effect in January 2023 does not set a fixed minimum capital for a limited liability company (LLC), but the capital must be adequate for the planned activities. Some activities, such as certain trading licences for foreign-owned companies, carry much higher capital requirements. We check the requirement for your exact activity.
Common options are a limited liability company (LLC, including a single-shareholder LLC), a joint stock company or simplified joint stock company, a branch of a foreign company, and a Regional Headquarters (RHQ) for multinational groups. The best choice depends on your activity, liability, ownership and tax position.
Yes. A foreign company can register a branch in Saudi Arabia after obtaining MISA investment registration. A branch is not a separate legal entity, so the parent company remains responsible for its obligations. We help you compare a branch with an LLC before you apply.
In most cases, yes. A registered address (National Address) and a commercial lease are usually needed for the CR, the municipality licence and work visas. Some activities and business centres offer flexible office options.
Every company registers with ZATCA for Zakat or income tax. VAT registration is mandatory when your annual taxable supplies exceed SAR 375,000 and voluntary from SAR 187,500. Registered businesses must also follow ZATCA e-invoicing (Fatoora) rules.
Yes. Once your CR and core registrations are complete, you can apply to a Saudi bank. Banks carry out their own KYC checks and usually ask an authorized signatory to attend in person, so allow time for this step.
Much of the preparation can be done remotely using a power of attorney and attested documents. Some steps, such as bank KYC, biometrics and the general manager’s residency, usually require a visit to Saudi Arabia.
The RHQ programme lets multinational groups set up their regional headquarters in Saudi Arabia, usually in Riyadh. Approved RHQs can access incentives, and some government procurement is linked to having an RHQ in the Kingdom. Eligibility conditions apply.
Once your company is established, the general manager and staff can obtain work visas and residency (iqama) through the company. Investors may also consider Saudi Premium Residency, which has its own eligibility criteria and fees.
